Joshua Rosenfeld

Josh Rosenfeld is a partner at Strategic Law Partners, LLP, a Los Angeles law firm specializing in corporate and intellectual property matters.  Mr. Rosenfeld’s practice focuses on advising mature and emerging growth companies and venture investors regarding general business matters and corporate transactions, including:

 

  • Venture capital and angel financings

  • Mergers and acquisitions

  • Corporate governance

  • Equity compensation matters

  • Commercial agreements

  • General counsel services

 

Prior to joining Strategic Law Partners, Mr. Rosenfeld was General Counsel and Corporate Secretary of Bebo, Inc., a privately held, venture-backed consumer Internet company based in San Francisco, which was the third-largest social networking site in the U.S. and worldwide at the time.  As an executive officer, Mr. Rosenfeld managed Bebo’s company-wide legal function in the U.S. and internationally, and he advised Bebo’s Board members, executive management, and all internal departments.  Mr. Rosenfeld also managed Bebo’s acquisition by AOL, then a subsidiary of Time Warner, for $850 million in cash.

 

For eight years prior to becoming Bebo’s GC, Mr. Rosenfeld was a corporate and securities attorney in the Silicon Valley and San Francisco offices of DLA Piper, one of the world’s largest law firms.  In addition to concentrating on venture capital financings and M&A, Mr. Rosenfeld focused on public company SEC reporting, Sarbanes-Oxley compliance, and capital markets transactions. 

 

Mr. Rosenfeld has substantial experience across multiple industries, including consumer Internet, social media, social networking, social gaming, eCommerce, wireless and mobile, software, communications, network infrastructure, semiconductor, consulting services, retail, fashion, biotechnology, medical device, and other life sciences.  He has represented multiple venture-backed and private-equity-backed private companies, such as Good Technology, Playdom, Bebo, Serviz, DSTLD, Domuso, Exokinetics, Market Track and NTS (Aurora Capital portfolio companies), LeisureLink, Ice.com, Nearbuy Systems, PanTerra Networks, Stockr, Revenue.com, MindJolt, H2scan, Cyber-Rain, New Edge Networks, Mahi Networks, Sequence Design, Arete Therapeutics, Tria Beauty, iSurfTV and 2Roam.  He also has represented technology incubators such as The Design Accelerator (an incubator created by the Art Center College of Design in partnership with CalTech); founders of venture-backed and private-equity-backed private companies, such as ZipRecruiter and Ovagen Fertility; corporate investors, such as Mitsubishi’s strategic investment funds; strategic acquirors such as The Chernin Group and Warner Bros. Entertainment; and public companies and capital markets underwriters such as PDL BioPharma, Extreme Networks, SciClone Pharmaceuticals and Needham & Co.

 

Mr. Rosenfeld teaches a course on advising startup companies at USC Gould School of Law.

 

Mr. Rosenfeld received his JD from UCLA School of Law and has an undergraduate degree from UC Berkeley.  He is admitted to practice law in the State of California.
